Terms of Use

Please read these terms carefully before using BioSuite Virtual.

1. Acceptance of Terms

By accessing or using BioSuite Virtual (the “Platform”), operated by Prism Immersive (“we,” “us,” or “our”), you agree to be bound by these Terms of Use. If you do not agree to these terms, you may not use the Platform. If you are using the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

2. Description of Service

BioSuite Virtual is a learning management system that provides immersive bioprocessing training through virtual reality (VR) modules. The Platform enables:

•       Student registration and enrollment in training sections

•       VR headset pairing for immersive training sessions

•       Progress tracking and knowledge assessments

•       Professional credentialing and certification

•       Instructor and institutional management tools

3. User Accounts

To use the Platform, you must create an account. You agree to:

•       Provide accurate, complete, and current information during registration

•       Maintain the security of your password and PIN

•       Notify us immediately of any unauthorized use of your account

•       Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these terms or remain inactive for extended periods.

4. Acceptable Use

You agree not to:

•       Use the Platform for any unlawful purpose or in violation of any applicable laws

•       Share your account credentials, pairing codes, or credential unlock codes with others

•       Attempt to gain unauthorized access to other users’ accounts or data

•       Interfere with or disrupt the Platform’s infrastructure or security features

•       Reverse engineer, decompile, or disassemble any part of the Platform or VR application

•       Use automated tools (bots, scrapers, etc.) to access the Platform without authorization

•       Submit false or misleading information during credentialing assessments

•       Circumvent seat licensing restrictions or pairing code security measures

•       Resell or sublicense the Platform, or charge any person for access to it, except as Section 5 permits

•       Use any Prism Immersive or BioSuite Virtual name, logo, or mark, or claim any partnership, endorsement, or affiliation with us, except as Section 8 permits

5. Institutional Access and Seat Licensing

5.1 License. Subject to these Terms and payment of applicable fees, we grant your institution a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Platform for its own internal educational and training purposes, by Authorized Users only, during the license term.

5.2 Authorized Users. Authorized Users are students matriculated at your institution, individuals employed by your institution, and any other individuals covered by a separate written license from Prism Immersive, to whom your institution has allocated a seat. Each seat is assigned to one named individual and is non-transferable. Your institution is responsible for its Authorized Users’ conduct. If your institution’s seat limit is reached, new registrations may be blocked until additional seats are acquired.

5.3 No Resale. Without our prior written permission, you may not resell, sublicense, rent, distribute, or otherwise provide access to the Platform to anyone; charge any person for access to the Platform or to any credential earned through it; or use the Platform to provide training, test preparation, or certification services to third parties. An accredited institution may charge its own matriculated students ordinary tuition or course fees for instruction in which it uses seats it holds.

5.4 No Reseller Rights. Buying seats confers no reseller, distributor, or channel rights. Only a separate written agreement signed by an officer of Prism Immersive creates them.

5.5 Permissions. Any permission under this Section must be in writing signed by an officer of Prism Immersive. Trial access, delay in enforcement, and acceptance of payment are not permission or waiver. Any permission is limited to the instance described and is revocable.

5.6 Academic Use Limitation. Seats purchased at academic pricing may be assigned only to students matriculated in a credit-bearing degree or certificate program at the licensed institution, and to faculty and staff who teach or administer that program. Academic seats may not be assigned to participants in continuing education, noncredit, customized, contract, workforce, or employer-sponsored training, regardless of where the training takes place, who delivers it, or whether the individual is registered with the institution for that purpose. Individuals receiving training under an agreement between the institution and an employer, industry partner, workforce organization, or other third party are not eligible for academic seats and require a separate Workforce Partner, Enterprise, or other applicable license from Prism Immersive. Providing access to an ineligible individual constitutes a material breach of this Section 5. Prism Immersive may invoice the institution for the difference between the academic rate paid and the applicable list price for each such seat.

6. Credentialing

Credentials earned through the Platform are subject to the following conditions:

•       Credentialing exams require a valid unlock code from your instructor

•       A 14-day cooldown period applies between credentialing attempts

•       Credential records may have an expiration date set by your organization

•       We reserve the right to revoke credentials obtained through dishonest means

•       Passing results are reported to the designated credentialing authority

Credentials issued through BioSuite Virtual represent completion of specific training modules and should not be considered a substitute for any government-issued licenses or certifications unless explicitly stated.

7. Intellectual Property

7.1 Ownership. The Platform and everything in it — software, VR modules, 3D models, animations, audio, graphics, curricula, and assessment items — and all intellectual property rights in them belong to Prism Immersive or its licensors.

7.2 Restrictions. Except as these Terms expressly permit, you may not copy, modify, distribute, publicly display, or create derivative works from any part of the Platform, or record, capture, or film Platform content for redistribution or commercial use, without our written consent.

7.3 Reservation. All rights not expressly granted are reserved. No rights arise by implication or estoppel.

7.4 No Competing Development. You may not use the Platform, or information derived from access to it, to design, develop, or assist in developing any product or service that replicates or competes with the Platform, and you may not access the Platform for benchmarking or competitive analysis, without our written consent.

8. Trademarks and Publicity

8.1 Marks. “Marks” means the names, logos, designs, trade dress, and product names of Prism Immersive and its licensors, registered or not, including “Prism Immersive” and “BioSuite Virtual.”

8.2 No License. These Terms grant you no rights in the Marks. Goodwill from any use inures to us.

8.3 Restrictions. Without our prior written permission you may not use any Mark in marketing or on any website, storefront, product listing, signage, or social media; in a domain name, account name, or business name; in metadata, keyword advertising, or search optimization; or in altered form.

8.4 No Claims of Affiliation. Without our prior written permission you may not state or imply that any product, program, course, or credential is developed with, produced by, sponsored, endorsed, certified, approved, authorized, powered by, or offered in partnership or collaboration with Prism Immersive, or that any relationship exists between us beyond the license in these Terms.

8.5 Permitted Reference. An institution in good standing may state truthfully and in plain text that it uses or licenses BioSuite Virtual — for example, “This course uses BioSuite Virtual, a product of Prism Immersive.” No logos, no greater prominence than the institution’s own branding, and nothing barred by Section 8.4.

8.6 Approved Use. Permission we grant is non-exclusive, non-transferable, revocable, subject to our usage guidelines and our prior approval of each item, and must end within ten business days of our written request.

8.7 Our Use of Your Name. You grant us the right to identify you as a customer and use your name and logo in our customer lists and marketing, subject to your usage guidelines and revocable on written notice.

9. No Agency

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship. Neither party may bind the other or make commitments on its behalf, and you may not hold yourself out as our agent, partner, or representative.

10. Suspension and Termination

10.1 We may suspend access immediately if we reasonably believe Section 5, 6, 7, or 8 has been breached, or that continued access threatens the integrity of the Platform or its credentials.

10.2 We may terminate on thirty days’ written notice of an uncured material breach, or immediately for breach of Section 5.3, 5.4, 5.6, 7, or 8.

10.3 On termination all licenses end. You must stop using the Platform and the Marks and remove references to Prism Immersive and BioSuite Virtual from your websites and marketing. No refund is due.

10.4 You agree that breach of Section 5.3, 5.4, 5.6, 7, or 8 causes irreparable harm and that we may seek injunctive relief without posting bond, in addition to other remedies.

10.5 Sections 6, 7, 8, 9, 10, 13, 14, and 16 survive termination.

11. Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Platform, you consent to the data practices described in the Privacy Policy.

12. Disclaimers

The Platform is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that:

•       The Platform will be uninterrupted, error-free, or secure

•       Training content is a substitute for hands-on laboratory experience or professional supervision

•       Credentials earned through the Platform will be recognized by all employers or regulatory bodies

13. Limitation of Liability

To the maximum extent permitted by law, Prism Immersive and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to loss of data, loss of credentials, or interruption of training.

14. Indemnification

You agree to indemnify and hold harmless Prism Immersive and its affiliates from any claims, damages, losses, or expenses (including reasonable attorney’s fees) arising from your use of the Platform, violation of these terms, or infringement of any third-party rights.

15. Changes to Terms

We reserve the right to modify these Terms of Use at any time. Material changes will be communicated to registered users via email or through the Platform. Your continued use of the Platform after changes take effect constitutes your acceptance of the revised terms.

16. Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the courts located in the State of Maryland.
